1. Definitions
1.1 “Agreement”: These Terms and linked policies (Privacy, Returns and Refunds).
1.2 “Products”: All electronics sold via platform services.
1.3 “Services”: Website (sulitstation.com), mobile apps, APIs, related tools if any.
1.4 “User”, “You”: Any person/entity accessing our services.
2. Acceptance & Modifications
2.1 By using Services, you affirm you are 18 (or age of majority) and agree to these Terms.
2.2 We reserve the right to modify Terms at any time, regularly check this page to see the changes (old material will be saved), continued use of the platform equals your acceptance.

3. Account Obligations
3.1 Registration
– Must provide (valid name, address, payment details). Pseudonyms prohibited.
– Corporate accounts require authorized representative.
3.2 Security
– You are liable for all activities under your account.
– Notify us immediately of breaches.
3.3 Termination
– We may suspend/terminate accounts for: Fraud, TOS violations, or unlawful conduct.
– Users may delete accounts via dashboard or written request.
4. Product Terms
4.1 Condition & Grading
– Products will be categorized by strict condition tiers over the next few months.
– “New” Definition: Sealed and unused by the manufacturer.
– “Refurbished” Definition: Devices are disassembled, repaired, cleaned, and tested to meet functional standards. May include third-party parts.
– “secondhand” Definition: Devices are cleaned tested to meet functional standards.
4.2 Pricing & Taxes
– Prices displayed are final, inclusive of VAT/sales tax (unless noted).
– We may cancel orders with pricing errors (notify within 24 hours).
4.3 Availability
– All sales subject to inventory. Backorders require written consent.
5. Order & Payment
5.1 Contract Formation
– Order or offer; acceptance occurs upon shipment confirmation.
– Invoices available in account dashboard, tax invoices upon request.
5.2 Payment Methods
– Accepted: Credit/debit cards (Cash on delivery, direct bank transfer, Visa, Mastercard and more).
– “Pre-authorization holds” may apply until shipment.
5.3 Fraud Prevention
– We may verify identity via third-party tools (e.g., Sift, Signifyd).
– We reserve the right to cancel suspicious orders.
6. Shipping, Title & Risk
6.1 Delivery
– Shipping timelines are estimates only. Carrier delays exempt us from liability.
– Signature may be required for some orders (e.g. bulk orders).
6.2 Title Transfer
– Title passes to you upon delivery to the shipping address.
– Risk of loss transfers upon handoff to carrier.
7. Returns, Refunds & Exchanges
7.1 Return Policy
– 10-day money-back guarantee from delivery date.
– Requirements: (Original packaging + accessories, Proof of purchase, Return Merchandise Authorization (RMA) number).
– Non-returnable: Customized products, software licenses, in any.
7.2 Refund Processing
– Refunds issued in 5-10 business days after return inspection.
– Original payment method only; exceptions require written approval.
7.3 Exchanges
– Subject to identical product availability. Price differences billed/refunded.
8. Warranty & Support
8.1 Warranty Scope
– 12-month warranty against defects in materials/workmanship.
– Coverage includes: (Component failures e.g., battery, screen and Non-conformance with product description).
– Excludes: (Cosmetic damage, consumables e.g., batteries and Damage from misuse, accidents, unauthorized modifications).
8.2 Claims Process
– Notify support within warranty period.
– Provide proof of defect (photos/video).
– We may: **Repair, replace, or refund** at our discretion.
8.3 Technical Support
– Free support via our “contact us” page.
9. User Conduct & Restrictions
9.1 Prohibited Uses
– Reverse engineering, scraping, or automated access without permission.
– Reselling Products for commercial purposes without written wholesale agreement.
– Posting false reviews or harassing other users.
9.2 Content Licensing
– User-generated content (reviews, photos) grants us a perpetual, royalty-free license to use/modify globally.
10. Intellectual Property
10.1 Our Ownership: All software, designs, logos, product databases.
10.2 Limited License: Grant access Services for personal use only.
10.3 Trademarks: logos, and product names are registered marks.
11. Disclaimers & Liability
11.1 Service “As Is”
– No warranties beyond those explicitly stated. Implied warranties (merchantability/fitness) disclaimed to the fullest extent permitted by law.
11.2 Limitation of Liability
– Our total liability for any claim equals or is lower purchase price of the product.
– Excluded liabilities: (Consequential, punitive, or incidental damages, Data loss from device malfunction and Third-party actions e.g., carriers, payment processors).
12. Indemnification
12.1 You agree to defend, indemnify, and hold harmless (sulitstation.com) from claims arising from:
– Breach of these Terms.
– Misuse of Products or Services.
– Violation of third-party rights (e.g., IP, privacy).
13. Dispute Resolution
13.1 Informal Negotiation
– Notify us of disputes in writing (ph.sulitstation@gmail.com). Parties will negotiate in good faith for 30 days.
13.2 Binding Arbitration
– Unresolved disputes governed by DTI Fair Trade Enforcement Bureau (FTEB) or Philippine Dispute Resolution Center (PDRCI) before litigation.
– Venue: Metro Manila.
– NO CLASS ACTIONS: Claims must proceed individually.
13.3 Exceptions
– Small claims court actions permitted.
– Injunctive relief for IP/unauthorized access.
14. General Provisions
14.1 Force Majeure: Not liable for delays due to pandemics, wars, or natural disasters.
14.2 Assignment: We may transfer this Agreement; you may not without consent.
14.3 Severability: If any clause is invalid, the rest remains enforceable.
14.4 Waiver: Failure to enforce a right equals its waiver.
14.5 Entire Agreement: Supersedes prior discussions.
